Managing Legal Counsel & Senior Legal Counsel - Investments (Growth)

About the roles

Both the Managing Legal Counsel and the Senior Legal Counsel – Investments (Growth) are integral members of the Investments Legal team within the People and Impact Business Area. In these roles, you will serve as a trusted adviser and strategic partner on investment-related matters, delivering expert, solutions-oriented legal advice. Your primary responsibility will be to support the Growth team, which focuses on Private Equity and Public Equity investments within the Investments Business Area.

 

Managing Legal Counsel - Investments (Growth)

  • Be a strategic leader, with a focus on strategic objectives, navigating change, fostering a culture of innovation and adapting approaches as needed while maintaining legal risk within appetite.
  • Deliver high-quality, commercially appropriate legal advice on investment related activities.
  • Lead the review and assessment of complex equity capital markets and related investments and projects arising from the Investments Growth team, including rights issues, underwriting IPOs etc.
  • Lead the review and assessment of complex investment related documentation and structures, such as Investment Management Agreements, Limited Partnership Agreements, Unit Trusts, Shareholders Agreement, Sale and Purchase Agreements, Bid documentation etc. for domestic and international investments.
  • Design and implement legal controls for managing inside information and trading restrictions, with a focus on public market activities.
  • Provide expert advice and oversight on disputes and litigation arising from the Investments Growth team.
  • Provide legal and regulatory compliance with SPS 231 and CPS 230 for Investment Management Agreements and Funds of One.

Senior Legal Counsel - Investments (Growth)

  • Deliver timely and commercially focused legal advice on a broad range of investment matters.
  • Lead the review of complex investment documentation and structures, such as Investment Management Agreements, Limited Partnership Agreements, Unit Trusts, Shareholders Agreement, Sale and Purchase Agreements, Bid documentation etc. for domestic and international investments.
  • Provide expert legal guidance on managing inside information and trading restrictions.
  • Advise on disputes and litigation arising from the Investments Growth team.
  • Ensure legal and regulatory compliance with SPS 231 and CPS 230 for Investment Management Agreements and Funds of One.
  • Maintain accurate legal records in relevant document management systems.

Both roles are on a permanent basis.

 

About you

It goes without saying you'll be a great communicator with top notch interpersonal skills. We'll also expect you to pick up problems and come up with quick, creative ways to solve them. It's quite likely you tick some of the following boxes too:  

  • Tertiary qualification in Law and current unrestricted practising certificate as a Legal Practitioner in Australia.
  • Extensive legal experience in a law firm and/or investment bank specialising in private equity and/or public markets and/or equity capital markets investments.
  • Ability to lead negotiations on a range of complex and high value matters.
  • Robust negotiation, drafting, influencing and stakeholder management skills with the ability to work collaboratively across all levels of an organisation.
  • Proven ability to provide professional, concise advice and solutions to technical, legislative, and strategic issues.
  • Highly developed communication and interpersonal skills with the ability to build strategic working relationships, influence, negotiate with and persuade senior stakeholders.
  • Ability to advise and support key projects and transactions and juggle various projects at the same time.
  • Ability to undertake interstate travel.
